1. Acceptance of Terms
By creating an account or using 97Promo ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. You must be at least 18 years old and legally able to enter into contracts.
2. Description of Service
97Promo is a performance-based content distribution marketplace that connects content owners with promoters. Content owners fund campaigns; promoters distribute content across social platforms and earn based on verified, eligible views. All campaign budgets and payouts settle in US Dollars (USD), regardless of display currency.
3. Accounts & Roles
You may register as a Content Owner, Promoter, or both. Administrators are assigned by the platform. You are responsible for keeping your credentials secure and for all activity under your account. The platform reserves the right to suspend or ban accounts that violate these Terms or platform guidelines, with a recorded reason.
4. Wallet, Funding & Payments
Your wallet holds a single shared balance used for funding campaigns (as a Content Owner) and receiving payouts (as a Promoter). You may add funds via card (processed by LemonSqueezy) or manual bank transfer. Card payments are credited after successful processing; bank transfers are credited after admin review and approval. All amounts settle in USD; display currencies are converted at admin-set rates for convenience only.
5. Campaigns & Budgets
When you fund a campaign, the budget plus the platform fee is locked from your available balance. Total payable earnings can never exceed the funded campaign budget. Unused locked funds are returned to your available balance when a campaign completes. Campaigns that pass their end date may be automatically completed by the platform, releasing any unused funds back to your wallet.
6. View Verification & Settlement
Promoter earnings are based on verified, eligible views capped by allocation and campaign budget. Views are verified by platform administrators (or via the YouTube Data API for YouTube posts). The platform's verification decision is final. Settlement credits earnings to your available balance and is recorded in an immutable ledger.
7. Withdrawals & Payouts
You may request a withdrawal to a saved payout method (bank, PayPal, crypto, or mobile money). Withdrawals are reviewed by administrators, typically within 1–3 business days. The minimum withdrawal amount is set by the platform and may change. If identity verification (KYC) is enabled, you must complete it before requesting a withdrawal. The platform is not liable for delays caused by incorrect payout details.
8. Prohibited Conduct
You agree not to: submit fake or purchased engagement; falsify analytics screenshots or view counts; submit content you do not have rights to; circumvent allocation limits; arrange off-platform payments; create fake accounts to farm referral bonuses; or otherwise manipulate the marketplace. Violations may result in account suspension, forfeiture of pending earnings, and reversal of referral bonuses.
9. Referral Program
If the referral program is enabled, you may invite friends using your unique referral code. Bonuses are credited to pending balance only when your referral completes a qualifying action (wallet funding or first verified earnings), and are released to available balance after admin review. Self-referrals are blocked. The platform may reverse referral bonuses if the referred user is banned for fraud or policy violations.
10. Intellectual Property
You retain ownership of content you upload. By uploading, you grant the platform and approved promoters a limited license to distribute that content as part of your campaign. You are responsible for ensuring you have the rights to distribute all content you upload. Repeated copyright violations may result in account suspension.
11. Disclaimers & Limitation of Liability
The Platform is provided "as is" without warranties of any kind. The Platform is not liable for indirect, incidental, or consequential damages, or for the performance of third-party social platforms. The Platform's total liability is limited to the amounts you have paid or earned through the Platform in the preceding 30 days.
12. Changes to Terms
The Platform may update these Terms at any time. Material changes will be communicated to registered users. Continued use after changes constitutes acceptance.
